These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and GBT Education LLC, doing business as StoryForm Labs, a Massachusetts limited liability company ("StoryForm Labs," "we," "us," or "our"). By accessing the StoryForm Labs website or using any Services, you agree to these Terms.
1. Description of Services
StoryForm Labs provides consulting, advisory, and sales-enablement services including narrative development, pitch materials, strategic guidance, and related digital deliverables. Specific deliverables may include written narratives, sales decks, discovery frameworks, sales assets, or other materials as determined by your selected service tier.
StoryForm Labs provides Services as an independent contractor. Nothing in these Terms constitutes an employment, partnership, or agency relationship.
StoryForm Labs does not provide legal, tax, financial, or compliance advice.
2. Fees, Billing & Subscription Model
2.1 Subscription Services.
Some Services are delivered on a recurring monthly subscription basis. By enrolling, you authorize StoryForm Labs to automatically charge your selected payment method each month until canceled.
2.2 Payment Terms.
All fees are due upfront and are non-refundable except as provided in the Case Study Rebate (Section 10).
2.3 Billing Failures.
If a payment method fails, StoryForm Labs may suspend Services until payment is received.
3. Client Responsibilities
You agree to:
  • Provide timely access to materials, information, and team members needed for StoryForm Labs to deliver Services.
  • Ensure accuracy of information and data you supply.
  • Use deliverables in good faith within your organization.
  • Deploy deliverables internally as required by the guarantee terms.
You are responsible for the implementation of deliverables within your team and sales process.
4. Delivery & Revisions
4.1 Delivery.
StoryForm Labs will make commercially reasonable efforts to deliver Services and deliverables within estimated timelines. Delivery timelines depend significantly on Client participation.
4.2 Revisions.
During an active subscription, StoryForm Labs may provide revisions to deliverables at its discretion. Substantial modifications or new scope may require additional fees.
5. Intellectual Property
5.1 Client Rights; Survival.
Upon full payment for each billing period, you receive a perpetual, non-exclusive license to use the final deliverables created for you within your organization.
For clarity, the license granted for any deliverables that have been delivered to the Client and paid for in full will survive any cancellation, non-renewal, suspension, or termination of Services. However, the Client will have no right to use any deliverables that have not been paid for in full.
5.2 StoryForm Labs Rights.
StoryForm Labs retains ownership of all methodologies, templates, narrative frameworks, processes, systems, proprietary tools, and any materials not created specifically for the Client.
5.3 Portfolio Use.
StoryForm Labs may showcase anonymized or redacted examples of deliverables unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information shared during the engagement. Confidential information may be disclosed only where required by law.
7. Termination & Cancellation
7.1 Client Cancellation.
You may cancel Subscription Services at any time. Cancellation takes effect at the end of the current billing cycle.
7.2 StoryForm Labs Termination.
StoryForm Labs may suspend or terminate Services for non-payment, breach of these Terms, or conduct that interferes with StoryForm Labs's ability to perform Services.
7.3 Post-Termination.
Clients retain rights to final deliverables already paid for. StoryForm Labs is not obligated to store or deliver drafts or in-progress materials after termination.
8. Prohibited Use
You agree not to:
  • Use the Site or Services for unlawful purposes;
  • Copy, reuse, resell, or distribute StoryForm Labs's proprietary frameworks or materials;
  • Reverse engineer or extract StoryForm Labs's systems or methodologies;
  • Interfere with or disrupt Service operations.
9. Disclaimers
9.1 No Guaranteed Outcome Beyond Section 10.
Except as specifically stated in the Case Study Rebate (Section 10), StoryForm Labs does not warrant or guarantee revenue outcomes, conversion increases, sales performance, or any specific result.
9.2 "As Is" Services.
All Services and deliverables are provided "as is," without warranties of any kind, express or implied.
9.3 Client Responsibility.
Your results depend on factors beyond StoryForm Labs's control, including rep performance, team compliance, product readiness, and market conditions.
10. Case Study Rebate (50% of Month 1)
10.1 Overview; Optional and Conditional.
StoryForm Labs does not offer a money-back guarantee. StoryForm Labs may, in its sole discretion, offer an optional and conditional case study rebate on the Client's first month of Subscription Services. The Rebate is not a default discount, is not a refund, and is available only if StoryForm Labs has expressly offered it to the Client in writing (including at the point of sale) and the Client satisfies the requirements in this Section 10.
10.2 Rebate Amount.
If eligible, the rebate is equal to fifty percent (50%) of the Client's first month's subscription fee (the "Rebate"). No rebates apply to subsequent months.
10.3 Eligibility Requirements.
To qualify for the Rebate, the Client must, within the first thirty (30) days of the engagement, complete one of the following case study deliverables:
  1. A video testimonial of ninety (90) seconds or longer, or
  1. A long-form written case study.
10.4 Marketing Usage Approval; License Grant.
As a condition of receiving the Rebate, the Client must provide written approval allowing StoryForm Labs to use the Client's quotes, videos, and stories from the testimonial or case study in StoryForm Labs's marketing materials.
The Client grants StoryForm Labs a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, perform, publish, distribute, create derivative works from, and otherwise use the testimonial or case study (and the Client's name, logo, and likeness as included in such materials) solely for StoryForm Labs's marketing, advertising, promotional, and sales purposes, in any media now known or later developed, for the maximum duration permitted by law (unless the parties agree otherwise in writing).
10.5 Timing and Payment of Rebate.
The Rebate will be issued after the Client has delivered the case study asset and provided the marketing usage approval described above. The Rebate may be issued via the original payment method or another method selected by StoryForm Labs.
10.6 No Refunds / No Other Rebates.
Except for the Rebate described in this Section 10 (if offered and if the Client qualifies), all fees are non-refundable.
11. Limitation of Liability
11.1 Liability Cap.
To the maximum extent permitted by law, StoryForm Labs's total aggregate liability arising out of or relating to these Terms, the Site, or the Services (whether in contract, tort, or otherwise) shall not exceed the total amount actually paid by the Client to StoryForm Labs for the Services during the thirty (30) days immediately preceding the event giving rise to the claim.
11.2 Excluded Damages.
To the maximum extent permitted by law, in no event shall StoryForm Labs be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or the cost of substitute services, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.
11.3 Third-Party Tools and Platforms.
StoryForm Labs is not responsible for outages, data loss, changes, or failures caused by third-party tools, platforms, or services used by the Client (including but not limited to Notion, CRM systems, call-recording tools, email providers, or payment processors).
11.4 Allocation of Risk.
The parties acknowledge that the fees reflect the allocation of risk in this Section 11 and that this limitation is an essential basis of the bargain.
12. Indemnification
12.1 Client Indemnity (General).
The Client will defend, indemnify, and hold harmless StoryForm Labs and its managers, members, employees, contractors, agents, and affiliates from and against any and all third-party claims, demands, suits, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
  • The Client's access to or use of the Site, Services, or deliverables;
  • Any implementation, use, distribution, or publication of the deliverables by the Client or anyone under the Client's control;
  • Any content, data, instructions, or materials provided by the Client (including any claim that Client materials infringe, misappropriate, or otherwise violate a third party's intellectual property, privacy, publicity, or other rights);
  • The Client's breach of these Terms; or
  • The Client's violation of applicable law, or negligence, fraud, or willful misconduct.
12.2 No StoryForm Labs Indemnity; No Obligation to Pay Damages.
StoryForm Labs does not provide any indemnity to the Client under these Terms and will not be responsible for, or obligated to pay, any damages, settlements, judgments, penalties, or other amounts arising from any third-party claim against the Client.
12.3 Indemnity Process.
The indemnified party must (a) promptly notify the indemnifying party of the claim, (b) provide reasonable cooperation at the indemnifying party's expense, and (c) allow the indemnifying party sole control of the defense and settlement, provided that the indemnifying party may not settle any claim in a manner that admits fault or imposes non-monetary obligations on the indemnified party without the indemnified party's prior written consent (not to be unreasonably withheld).
12.4 Mitigation / Replacement Option.
If a third-party claim relates to an allegation that StoryForm Labs deliverables infringe a third party's rights, StoryForm Labs may, at its option, (a) modify the deliverables, (b) replace the deliverables with substantially equivalent non-infringing deliverables, or (c) terminate the affected Services and refund any prepaid fees for the unused portion of the then-current billing period as the Client's sole remedy (if any) for such claim.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts. Any disputes shall be resolved in the courts located in Massachusetts, unless otherwise required by law.
14. Modifications
StoryForm Labs may update these Terms from time to time.
Notice of material changes. If StoryForm Labs makes material changes to these Terms, StoryForm Labs will provide notice to existing Clients (for example, by email and/or by an in-app notice) before the changes take effect.
Effective date and acceptance. Updated Terms will be effective as of the "Last Updated" date shown above (or a later effective date stated in the notice). Continued use of the Site or Services after the effective date of the updated Terms constitutes acceptance of the updated Terms.
